The third edition of a book on sales and leases of goods by one of the country's leading experts in commercial law. The book uses a problem-based approach to help students master the applicable legal rules, understand how the law applies to both simple and complex commercial transactions, and learn how to use the law in planning transactions and drafting agreements. The book consists primarily of text and 132 carefully sequenced problems. Many of the problems ask students to apply the law to a set of facts. Others do the reverse, asking students to identify a set of facts to which a specific rule applies. Several prompt students to think about the policies underlying the law or how the law affects commercial behavior. Finally, approximately a dozen problems - in keeping with a growing trend in legal education - task students with drafting a contract term or other document.
This book teaches students about secured transactions and the law that governs them, while simultaneously training students in the use and interpretation of statutes. Because of the focus on statutory interpretation, the book contains few judicial opinions. Instead, it contains 180 carefully sequenced problems for students to solve and which serve as the foundation for classroom discussion. The problems are preceded by textual discussion designed to help students understand the relevant statutory provisions and the transactions to which those provisions apply. Most of the problems require students to apply the law to specified facts but a few of the problems do the reverse: they challenge the students to describe a set of facts to which a statutory provision applies. Some other problems ask students to identify the reason underlying a rule and some ask students to draft language for an agreement or other plan a specified transaction. CasebookPlus Hardbound - New, hardbound print book includes lifetime digital access to an eBook, with the ability to highlight and take notes, and 12-month access to a digital Learning Library that includes self-assessment quizzes tied to this book, leading study aids, an outline starter, and Gilbert Law Dictionary.

This study aid includes eight comprehensive sample examinations, each containing 25 questions. Each exam covers both the basics and the intricacies of Article 9 of the Uniform Commercial Code. The detailed answer keys identify the best answer choice, explain why it is the best, and explain why the other answers are not better. This detailed analysis allows students to sharpen their skills and deepen their understanding of secured transactions.
This book covers bankruptcy law, policy, and practice, focusing on consumer bankruptcy and the basics of business bankruptcy. Its innovative organization and integrated use of graphics introduce students to the variety of often competing policies that apply when an individual or business entity experiences financial distress. The book's 101 carefully-designed problems facilitate learning and focus class discussion. Review questions at the end of most chapters facilitate student self-assessment of their understanding and mastery of the law material and its application.
